These Terms of Service govern the sale of goods through the online store operated by Comagro OÜ (registry code 12960886, VAT EE101841896), located at Priisle tee 10, Lasnamäe linnaosa, 13914 Tallinn, Harju maakond, Estonia (hereinafter referred to as “Seller”, “we”, or “us”).
1. Prices
All prices shown in the online store are in euros (€). VAT is included or added at checkout. Shipping costs are displayed before order confirmation for online retail purchases. We reserve the right to adjust prices at any time. For orders placed before a price change, the previous price remains valid. Prices for wholesale B2B inquiries and raw cocoa beans are provided via custom quotes.
2. Ordering Process and Payment Methods
We cater to both private consumers (B2C) and commercial buyers (B2B). The order process depends on the purchase volume:
Online Retail Orders (Up to 20 kg): Orders can be placed directly through the webshop. The customer selects desired products, adds them to the shopping cart, and proceeds to checkout. Payments are processed securely through Montonio. Accepted payment methods include standard bank links and major credit/debit cards. The merchant does not have access to the customer’s bank or card data.
Wholesale & Commercial Orders (Over 20 kg, Pallets, & Cocoa Beans): Orders exceeding 20 kg, full 25 kg factory bags of cocoa powder, and all raw cocoa beans are processed as commercial shipments. These are inquiry-based. Upon agreeing to a custom shipping quote, the customer will be issued a B2B invoice.
The purchase agreement takes effect once payment has been successfully received on our account.
3. Delivery
Shipments are dispatched from our warehouse in Estonia. Your order will be formed and prepared for shipment within one working day from the date of receiving of funds to our account.
Delivery Methods:

Within Estonia: Retail orders (up to 20 kg) are shipped exclusively via Smartpost parcel lockers.

International (Up to 20 kg): Customers can choose between delivery to a parcel locker or courier delivery to the door.

Commercial Shipments: Wholesale orders (over 20 kg), standard 25 kg kraft bags, and raw cocoa beans are strictly shipped on pallets via a transport company directly to the customer’s address. Parcel lockers are not used for commercial shipments.
As soon as the transport company picks up the order at our warehouse, the customer will receive a notification indicating the tracking number.
Please note: Customs, import fees, or phytosanitary inspection fees may apply outside the European Union. These charges are the buyer’s responsibility. We are not liable for delays caused by customs clearance or circumstances beyond our control.
4. Right of Withdrawal and Returns
Under EU and Estonian law, consumers have the right to withdraw from a purchase made online within 14 days of receiving the goods.
Exceptions for Food Products (CRITICAL): Because our products (chocolate mass, cocoa paste, butter, powder, and beans) are food items, the right of withdrawal does not apply if the sealed packaging has been opened after delivery. For health protection and hygiene reasons, opened food products are strictly non-refundable.
To exercise the withdrawal right for eligible, unopened products, please contact us within 14 days at tsg@comagro.ee. The customer is responsible for return shipping costs.
B2B Exemption: The 14-day right of withdrawal applies only to private individuals purchasing for personal use. It does not apply when the buyer is a company or other legal entity.
5. Product Quality, Shelf Life & Storage
We guarantee the quality of our products upon dispatch. To maintain quality, products must be stored at an ambient temperature of 18-22°C with a relative humidity of 50-60%, in a dry environment with air circulation.

Chocolate Masses: Shelf life of 1 year under proper storage conditions.

Cocoa Paste, Butter, and Powder: Shelf life of 24 months after the production date under proper storage conditions.
If you receive a damaged or defective item, please report it to us within 48 hours of delivery with photographic evidence.
6. Phytosanitary Regulations for Cocoa Beans
Please note that raw cocoa beans are phytosanitary goods. The buyer must understand the requirements of local legislation in order to receive phytosanitary consignments. If the provision of phytosanitary certificates or other quarantine documents is required, this information must be provided in advance when placing an inquiry.
7. Limitation of Liability
Comagro OÜ is not liable for damages or delays caused by circumstances beyond its control, such as force majeure events, courier delays, or third-party service interruptions. Our total liability related to any order shall not exceed the total amount paid for that specific order.
8. Personal Data
Personal data provided during the ordering process are processed in accordance with our Privacy Policy. We collect only the information necessary to fulfill your order and do not share personal data with third parties except as required to provide our services (e.g., Montonio for payments, Smartpost/Transport companies for delivery).
9. Governing Law and Dispute Resolution
These Terms and any disputes arising from them are governed by the laws of the Republic of Estonia. In case of disputes, the customer may first contact us to seek resolution. If no agreement is reached, private consumers may refer the matter to the Consumer Disputes Committee in Estonia.
